Catch Technologies Inc. - Driver Compensation Policy

Catch Technologies Inc. (“Catch”, “we”, “our”, “us”)

1. Purpose and Scope
This Driver Compensation Policy explains how Catch compensates independent drivers who provide Rideshare Services to Riders through the Catch Platform in Canada.
This policy applies to all drivers who have accepted the Catch Driver Agreement and comply with all relevant licensing, insurance, and safety requirements.

2. Independent Contractor Status
Drivers act as independent contractors and are not employees, partners, or agents of Catch.
You are responsible for:
Maintaining the required Saskatchewan driver’s license, vehicle registrations, and vehicle-for-hire permits where applicable.
Paying all federal and provincial income taxes, CPP, and EI (if applicable for self-employed).
Collecting and remitting your own GST/HST/PST on Driver Fares if your total taxable supplies exceed CRA registration thresholds.
Maintaining your own automobile, commercial, and liability insurance as required by your province.
This Policy does not establish an employment relationship.

3. Definitions
Term Meaning
Driver Fare: The amount earned per completed trip, calculated as base fare plus time, distance, and any applicable surge or multiplier.
Rate Card: The rate schedule in your driver dashboard that specifies base, time, and distance rates by service type and city.
Service Fee: The percentage Catch retains for facilitating each transaction and providing platform access.
Platform Fee: A flat or variable amount retained to cover technology, customer support, and safety programs.
Incentives/Bonuses: Additional earnings Catch may offer for meeting performance or trip targets.
Tips: Voluntary amounts provided by Riders through the app; you receive 100% of tips.

4. Driver Fare Calculation
Base Fare: The minimum amount required to accept and complete a ride.
Time Component: Per-minute rate for total ride duration.
Distance Component: Per-kilometer rate measured by GPS.
Dynamic Pricing (Surge): Higher rates may apply during peak demand, such as weather events, certain times of day, or special events.
Special Services: CatchRX, CatchShe, CatchXL, CatchCare, and CatchGo may each have distinct rate cards.
Rate Cards vary by city and are available on your Driver Dashboard. Catch will provide notice before any material rate changes take effect.

5. Additional Payments
Where applicable, you will receive:
Tips left by Riders: Catch does not deduct or retain any portion.
Tolls, surcharges, or municipal levies collected from Riders and remitted to you.
Bonuses or incentives based on performance or participation in specific campaigns.
Reimbursements for Rider-caused vehicle damage, as verified through Catch’s claims process.

6. Payment Processing and Settlement
Catch collects Rider Charges as your limited payment collection agent. Once Catch receives payment from the Rider, the Rider’s payment obligation to you is fulfilled. remits Driver Fares (minus Catch Fees) via Stripe Canada in accordance with the Stripe Connected Account Agreement and Canadian banking regulations.
Payments are made weekly unless you choose Express Pay, which allows instant transfer for a small processing fee disclosed before confirmation. Authorize Catch and Stripe to issue electronic receipts and T4A summaries (if required by law).

7. Catch Fees
To access the Catch Platform and related services, you agree that Catch may retain the following fees:
a Service Fee (percentage of each ride); 
a Platform Fee (flat or variable charge per trip).
a Surcharge Fee, which may include airport fees, tolls, and city-specific surcharges.
a Cancellation Fee, charged if a rider cancels after a grace period.
a Split Fare Fee, charged when riders split the cost of a trip through the app.
These fees are automatically deducted from the payment. Catch may adjust fees periodically, with notice as required by provincial regulations.ations.

8. Taxes
Drivers: Responsible for determining and remitting applicable GST/HST/PST and income taxes.
Catch: Responsible for collecting and remitting any taxes applicable to the Catch Fees it retains.
Tax summaries and transaction histories are available in your Driver Dashboard for reporting purposes.

9. Adjustments, Disputes, and Fraud Prevention
Catch may adjust or withhold a payment (excluding tips) if:
A Rider dispute or complaint is verified.
A fare was calculated in error.
Fraudulent or abusive activity is detected, or required by law or regulatory authority.
Drivers will be notified and may appeal such decisions through Catch’s Driver Support Portal within 14 days. Catch will review disputes in good faith and issue any adjustments promptly.

10. Promotions and Coupons
Promotional discounts offered by Catch to Riders will not reduce your Driver Fare.
Catch funds Rider promotions independently unless otherwise stated in a written incentive program.

11. Transparency Obligations
Catch displays:
Active rate cards by city.
A breakdown of each completed ride, including base, time, distance, surge, Catch Fees, and net payout;
Weekly statements and downloadable reports;
Advance notice of any structural changes to driver compensation. 

12. Privacy and Data Use
Catch collects and processes driver information (including earnings, location, performance metrics, and identity data) in accordance with the Catch Privacy Policy, compliant with PIPEDA, applicable Saskatchewan privacy and consumer protection laws, and Québec Law 25 where applicable.
Personal data is used only for payment, tax reporting, fraud prevention, and operational analytics purposes.

13. Compliance and Local Requirements
Drivers must comply with:
Provincial and municipal ride-for-hire bylaws.
Minimum insurance coverage levels required by Saskatchewan Government Insurance (SGI) and applicable Saskatchewan regulatory authorities.
Vehicle safety and inspection schedules.
Catch’s Safety and Conduct Policies.

14. Communications and CASL Consent
By using the Catch Platform, you consent to receive operational, transactional, and limited promotional communications from Catch via email, SMS, or in-app messages, in compliance with Canada’s Anti-Spam Legislation (CASL).
You may unsubscribe from promotional messages at any time.

15. Governing Law
This Policy is governed by the laws of Saskatchewan and the laws of Canada applicable thereto.

16. Updates and Notifications
Catch may update this Policy as laws or business models change. Updates will be posted in the Driver App and on the website. Continued use of the Platform after notice constitutes acceptance.
